Grant of License The Producer grants the Artist a non-exclusive, non-transferable license to use the instrumental beat identified above to create and commercially release one original song. The Artist may record vocals over the Beat and distribute the resulting song through legitimate music platforms and social-media services, subject to the limits and conditions of the license purchased. This license does not transfer ownership of the Beat to the Artist. WAV LICENSE — ₦20,000 The Artist receives: - WAV version of the Beat - Permission to record and release one song using the Beat - Commercial distribution rights - Distribute up to 3000 copies - Up to 200,000 streams for the resulting song - Required Producer credit -Territory: Worldwide - No content ID - 1 music video - For live performances - Radio broadcasting (2 Stations) The Artist receives only the files and rights included in the license purchased. 3. Producer Credit The Artist agrees to credit the Producer as: “Prod. by Colazo Grex” The credit should be included wherever appropriate and where the platform provides a producer-credit field, including streaming metadata, YouTube descriptions, music videos, promotional materials and social-media posts. 4. Stream Limits The applicable stream limit applies to the finished song created using the Beat. If the song reaches the stream limit included in the purchased license, the Artist must contact the Producer before continuing commercial exploitation beyond the permitted limit. The Producer and Artist may agree to an upgraded or extended license. 5. Non-Exclusive Rights This license is non-exclusive. The Producer retains the right to license the Beat to other artists. Purchasing this license does not prevent other artists from legally obtaining a license to use the same Beat. 6. Ownership The Producer retains ownership of the Beat and the Producer's original contributions to the Beat. Purchasing this license does not transfer ownership of the instrumental to the Artist. The Artist may not claim to be the sole creator or producer of the instrumental. 7. Third-Party Materials The Beat may contain sounds, loops, samples, recordings, or other materials that are subject to separate third-party licenses or rights. Such materials are incorporated into the Beat as part of a larger musical composition. This agreement does not transfer ownership of any underlying third-party materials to the Artist. The Artist may not extract, resell, redistribute, isolate, or commercially exploit any individual third-party sound or material from the Beat separately from the finished song. No exclusive ownership of any third-party material is granted under this agreement. 8. Prohibited Uses The Artist may not: - Resell the Beat itself - Upload the Beat by itself to sample marketplaces - Claim ownership of the Beat - Claim exclusive ownership of third-party materials contained within the Beat - Give or transfer the Beat to another person for unauthorized use - Extract and redistribute individual samples or sounds from the Beat - Use the Beat or its individual components to create or sell a sample pack - Remove or intentionally obscure the required Producer credit - Grant another person rights greater than those granted by this license 9. Content Identification and Rights Claims The Artist must not make false claims of exclusive ownership over the Beat or any underlying material that the Artist does not exclusively own. If the Artist registers the resulting song with a content-identification, fingerprinting, or rights-management service, the Artist is responsible for ensuring that the registration does not falsely claim exclusive ownership of material covered by this license or third-party rights. 10. Permitted Modifications The Artist may make reasonable modifications to the Beat for the purpose of creating the finished song, including: - Cutting sections - Repeating sections - Changing the arrangement - Adjusting volume - Adding vocals - Adding effects - Making other reasonable production adjustments The Artist may not redistribute the modified instrumental as a standalone beat. 11. Transfer and Sublicensing The Artist may not sell, transfer, sublicense, rent, lease, or give this license or the Beat to another person. 12. Refunds Because the Beat is a digital product, purchases are generally non-refundable after the Beat files have been delivered, except where required by applicable law or otherwise agreed by the Producer. 13. Violation of License If the Artist violates this agreement, the Producer may require the Artist to stop the unauthorized use and may pursue remedies available under applicable law. 14. Acceptance By purchasing the Beat and/or accepting this license, the Artist confirms that they have read, understood, and agreed to the terms of this agreement.
